EMPIXO Terms & Conditions

These Terms & Conditions govern your use of the EMPIXO website, your interactions with EMPIXO, and the purchase or use of EMPIXO services, products, tools and digital resources unless more specific terms apply.

1. Who operates EMPIXO

In these Terms:

“EMPIXO”, “we”, “us” and “our” mean TEAM YCBC ENTERPRISES LIMITED trading as EMPIXO.

“You” and “your” mean the person using the website, purchasing or using a service, product or tool, or otherwise interacting with EMPIXO.

2. What these Terms cover

These Terms may apply when you:

• visit the EMPIXO website;
• use EMPIXO content or resources;
• make an enquiry;
• book an appointment;
• purchase a service;
• participate in coaching or mentoring;
• use an EMPIXO digital tool;
• use EMPIXO Money Map;
• participate in a programme;
• work with EMPIXO as an individual, household, business, club or organisation;
• receive financial mentor supervision;
• subscribe to communications; or
• otherwise interact with EMPIXO.

Some services have additional specific terms.

3. Specific service terms

Where EMPIXO provides a particular service, additional service-specific terms may apply.

For example, financial coaching and mentoring are governed by the:

Those specific terms form part of your agreement with EMPIXO.

Where specific service terms address a matter differently from these general Terms, the more specific terms apply to that service to the extent of the difference.

4. Other policies

These Terms should be read together with other applicable EMPIXO policies and information, including:

• Privacy Policy;
• Coaching & Financial Mentoring Terms;
• Refund, Cancellation & Rescheduling Policy;
• Mentoring vs Financial Advice;
• Disclosures & Complaints;
• Website Disclaimer; and
• any specific written terms applying to the service or product you purchase.

5. Current EMPIXO services

EMPIXO currently provides financial coaching, financial mentoring, financial capability education, practical implementation support and related non-advice services.

Depending on the service, this may include areas such as:

• household financial coaching;
• Banking Help;
• bank security and fraud awareness;
• Wealth Planning;
• KiwiSaver education;
• Tax & IRD Coaching;
• Xero support;
• Small Business Coaching;
• Clubs & Community Organisations support;
• budgeting;
• debt;
• financial organisation;
• financial systems;
• financial education;
• accountability;
• scenario planning; and
• implementation support.

The scope of a particular service will be described on the relevant service page or in other written information provided by EMPIXO.

Who may provide EMPIXO services

EMPIXO services may be provided by appropriately selected employees, contractors, financial mentors, supervisors or other authorised EMPIXO personnel. The person providing a particular service may vary depending on the service, availability, experience and client needs.

Unless expressly stated otherwise, the client’s agreement is with TEAM YCBC ENTERPRISES LIMITED trading as EMPIXO, rather than with an individual team member personally.

EMPIXO remains responsible for services provided under your EMPIXO engagement, subject to these Terms and applicable law, regardless of which authorised EMPIXO team member delivers the service.

6. Current coaching is separate from regulated financial advice

EMPIXO’s current coaching, mentoring and education services are separate from regulated financial advice.

Unless EMPIXO expressly enters into a separate regulated financial advice engagement with you, you should not assume that an EMPIXO coaching or mentoring relationship is a regulated financial advice relationship.

The substance of an interaction matters.

Specific boundaries are explained further in the:

• Mentoring vs Financial Advice page.

7. Future regulated financial advice

EMPIXO intends to develop a separate regulated financial advice service in the future.

The first planned area is residential mortgage advice.

Future areas may include:

• investment advice;
• insurance and protection advice; and
• regulated KiwiSaver advice where appropriate.

Those services are not currently available through EMPIXO.

They will only become available once the appropriate qualifications, licensing and/or Financial Advice Provider authorisation arrangements, adviser requirements and compliance processes are in place.

Future regulated advice services will have their own applicable terms, disclosures, adviser and FAP information, fees, conflicts information and engagement requirements.

8. Information on the EMPIXO website

EMPIXO aims to provide useful and practical information.

Website content may include:

• financial education;
• explanations;
• guides;
• examples;
• calculators;
• scenarios;
• articles;
• videos;
• tools;
• commentary;
• general information; and
• descriptions of EMPIXO services.

Unless expressly stated otherwise, website information is general in nature.

It is not automatically personalised advice merely because it relates to a financial topic.

9. Information may change

Financial information can change.

This may include changes to:

• laws;
• regulations;
• tax rules;
• government policies;
• product terms;
• interest rates;
• lender requirements;
• KiwiSaver rules;
• banking processes;
• market conditions;
• prices;
• third-party services; and
• other external information.

EMPIXO may update content from time to time but does not guarantee that every page or resource will always reflect the latest position.

Important current information should be independently checked before significant decisions are made.

10. Examples, calculators and scenarios

EMPIXO may provide:

• examples;
• calculators;
• forecasts;
• projections;
• scenarios;
• assumptions;
• comparisons;
• models; and
• hypothetical exercises.

These are intended to support learning and decision-making.

They are not promises or guarantees of future outcomes.

Actual results may differ materially.

11. EMPIXO Money Map and digital tools

EMPIXO may provide digital tools including EMPIXO Money Map.

Unless expressly stated otherwise, these tools are provided for financial education, organisation and decision support.

Outputs may depend on:

• information supplied;
• imported data;
• assumptions;
• categorisation;
• calculation rules;
• missing information;
• software limitations; and
• other factors.

Important outputs should be checked before they are relied on for a significant decision.

Separate Money Map or digital-product terms may be introduced as those products develop.

12. Accuracy of information you provide

Where you provide information to EMPIXO, you agree to make reasonable efforts to ensure that it is accurate, current and complete.

EMPIXO may reasonably rely on information you provide.

If information is incomplete or inaccurate, calculations, plans, outputs or observations based on that information may also be incomplete or inaccurate.

13. Eligibility and authority

You must have legal capacity to enter into an agreement with EMPIXO.

Where a service is purchased or arranged on behalf of another person, business, club or organisation, you confirm that you have appropriate authority to do so.

Additional requirements may apply when EMPIXO works with a person under 18.

14. Prices and GST

Prices will be displayed on the relevant website page, booking page, proposal, invoice, payment page or other written communication.

Unless otherwise stated, prices are in New Zealand dollars and include GST where applicable.

EMPIXO may change prices for future purchases.

A later price change does not normally alter the price of a service that has already been purchased and confirmed.

15. Payment

Unless otherwise agreed, payment is required at the time specified during the booking or purchase process.

EMPIXO may use independent payment providers.

A service may not be treated as confirmed until required payment has been successfully received.

16. Booking

Appointments are subject to availability.

Some services may require minimum booking notice.

Unless another rule is clearly stated for a particular paid coaching service, EMPIXO appointments may normally require at least 24 hours’ advance booking.

Booking requirements may be managed through an independent scheduling provider.

17. Cancellations, refunds and rescheduling

The EMPIXO Refund, Cancellation & Rescheduling Policy applies where relevant.

For covered coaching appointments, the general position is:

• 24 hours or more before the appointment: free reschedule or full refund;
• less than 24 hours: normally no refund and the session may be treated as used;
• no-show: normally no refund;
• exceptional circumstances: EMPIXO may exercise reasonable discretion; and
• if EMPIXO cancels: a replacement appointment or refund for the affected session will ordinarily be offered.

Different conditions may apply to a specific programme or service where clearly disclosed before purchase.

Nothing in these Terms removes a consumer right that cannot lawfully be excluded.

18. Packages and programmes

Some services may be offered as packages or programmes.

Where a package or programme has:

• a completion period;
• expiry period;
• number of sessions;
• specific inclusions; or
• other special conditions,

those conditions will be clearly disclosed before purchase.

If no completion or expiry period is stated, these general Terms do not create one.

19. Online services

EMPIXO may provide services through:

• video conferencing;
• telephone;
• email;
• online platforms;
• client portals;
• digital tools; or
• other technology.

You are responsible for having reasonable access to suitable technology and internet connectivity.

No online system can be guaranteed to operate without interruption or security risk.

20. Artificial intelligence and technology

EMPIXO may use AI-assisted technology and other systems for operational purposes.

This may include:

• administration;
• preparation;
• transcription;
• meeting summaries;
• workflow management;
• document preparation;
• financial-data organisation;
• quality checking; and
• client follow-up.

AI systems may produce inaccurate or incomplete material.

AI-generated content should not automatically be treated as accurate, complete or professional advice.

21. Privacy

Personal information is handled in accordance with the EMPIXO Privacy Policy and applicable privacy requirements.

By providing personal information to EMPIXO, you acknowledge that it may be collected, used, stored and disclosed as described in the Privacy Policy.

22. Security

You are responsible for taking reasonable precautions when using online services.

Do not provide EMPIXO with secret banking credentials such as:

• internet-banking passwords;
• PINs;
• one-time authentication codes;
• security tokens; or
• other secret account credentials.

EMPIXO will never need those credentials simply to provide financial coaching.

23. Fraud and scam concerns

EMPIXO may provide general education and coaching concerning banking security, fraud and scam awareness.

EMPIXO is not a:

• bank fraud department;
• cybersecurity provider;
• fraud investigator;
• Police service;
• emergency service; or
• lawyer.

Where you believe an account has been compromised or money has been fraudulently transferred, you should contact the relevant bank or provider promptly using an independently verified official contact method.

24. Third-party services and platforms

EMPIXO may rely on independent providers for:

• website hosting;
• bookings;
• payments;
• email;
• calendars;
• video conferencing;
• cloud storage;
• accounting;
• analytics;
• AI;
• software;
• customer management; and
• other operational services.

Those providers may have their own terms, privacy policies and service limitations.

EMPIXO does not control the operation of independent third-party platforms.

25. Third-party links

The EMPIXO website may contain links to external websites, organisations, tools or resources.

A link does not automatically mean EMPIXO:

• endorses the third party;
• guarantees its services;
• accepts responsibility for its information; or
• recommends it for your particular circumstances.

You should make your own assessment before relying on third-party content or services.

26. Referrals

EMPIXO may refer or introduce you to another professional or service provider where appropriate.

You are free to:

• accept or decline the referral;
• obtain your own advice; or
• select another provider.

Unless expressly stated otherwise, referred providers operate independently from EMPIXO.

Where a material referral fee, commission or other commercial benefit arises, EMPIXO will disclose it where required by law or where reasonably necessary to understand a potential conflict.

27. Your decisions remain yours

EMPIXO may help you:

• understand;
• organise;
• plan;
• compare;
• prepare;
• implement; and
• take action.

You remain responsible for the decisions you make.

Where specialist legal, tax, accounting, regulated financial, medical or other professional advice is required, you should obtain that advice from an appropriate professional.

28. No guaranteed outcome

EMPIXO does not guarantee a particular outcome from:

• using the website;
• purchasing coaching;
• participating in a programme;
• following an action plan;
• using a calculator or tool;
• implementing a financial system; or
• using information supplied by EMPIXO.

Financial and other outcomes depend on circumstances outside EMPIXO’s control as well as your own decisions and actions.

29. Acceptable use

You must not knowingly use EMPIXO’s website, services or systems:

• unlawfully;
• fraudulently;
• to interfere with security;
• to gain unauthorised access;
• to introduce malicious software;
• to impersonate another person;
• to misuse another person’s information;
• to harass or abuse another person; or
• in a way that materially disrupts EMPIXO’s services.

EMPIXO may restrict access where reasonably necessary to protect users, systems or the business.

30. Intellectual property

Unless otherwise stated, TEAM YCBC ENTERPRISES LIMITED owns or licenses the intellectual property used by EMPIXO, including:

• the EMPIXO name and brand;
• frameworks;
• written content;
• educational material;
• worksheets;
• workbooks;
• presentations;
• videos;
• website content;
• software;
• Money Map materials;
• methodologies; and
• other original resources.

Nothing in these Terms transfers ownership of EMPIXO intellectual property to you.

31. Personal use of EMPIXO material

Where EMPIXO supplies materials as part of a service, you may generally use them for the personal, household, business or organisation purpose for which they were supplied.

Unless EMPIXO gives written permission, you may not:

• sell them;
• commercially reproduce them;
• republish them;
• distribute them as your own;
• remove branding and claim ownership;
• use them to commercially train others; or
• use them to create a competing commercial service.

32. Information or material you provide

You retain ownership of information and material that belongs to you.

By providing information to EMPIXO for a service, you give EMPIXO permission to use that information to the extent reasonably necessary to:

• provide the service;
• operate the relevant tool;
• maintain appropriate records;
• comply with legal obligations; and
• carry out other purposes described in the Privacy Policy.

33. Testimonials and marketing

Purchasing or participating in an EMPIXO service does not automatically give EMPIXO permission to publicly use your:

• name;
• image;
• story;
• financial information;
• business information;
• testimonial; or
• identifiable results.

Appropriate permission will be obtained before identifiable client material is used publicly.

Marketing consent, where required, will be kept separate from mandatory acceptance of service terms.

34. Service availability

EMPIXO may:

• introduce new services;
• change service availability;
• temporarily suspend services;
• discontinue services;
• change delivery methods; or
• alter future offerings.

Where you have already purchased a service, EMPIXO will make reasonable efforts to honour the agreed service or provide an appropriate alternative or remedy where required.

35. Events outside reasonable control

EMPIXO will not be responsible for unreasonable delay or failure caused by circumstances genuinely outside its reasonable control.

These may include:

• serious illness;
• natural disasters;
• major infrastructure failures;
• communications outages;
• technology failures;
• government action; or
• other significant external disruptions.

Where reasonably practicable, EMPIXO will try to provide an alternative arrangement.

36. Liability

Nothing in these Terms excludes, restricts or modifies a right or liability that cannot lawfully be excluded, restricted or modified.

Subject to that qualification and to the maximum extent permitted by law, EMPIXO is not responsible for indirect, consequential, speculative or opportunity losses resulting from decisions you independently make after using EMPIXO information, tools or coaching.

Any limitation of liability applies only to the extent it is lawful and enforceable in the circumstances.

37. New Zealand consumer rights

These Terms are intended to operate consistently with applicable New Zealand consumer law.

Nothing in these Terms attempts to exclude a statutory right or remedy that cannot legally be excluded.

39. Changes to these Terms

EMPIXO may update these Terms where:

• services change;
• products change;
• technology changes;
• business processes change;
• legal requirements change; or
• future regulated financial advice services are introduced.

The version normally applying to a purchase is the version in effect when that service was purchased, unless another lawful arrangement applies.

40. Governing law

These Terms are governed by the laws of New Zealand unless mandatory law requires otherwise.

If you access EMPIXO from another country, mandatory laws in that jurisdiction may also apply.

41. Severability

If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue to apply to the extent legally possible.

42. No waiver

If EMPIXO does not immediately enforce a right under these Terms, that does not automatically mean the right has been waived.

43. Entire agreement

Your agreement with EMPIXO may consist of:

• these Terms & Conditions;
• applicable service-specific terms;
• the relevant service description;
• booking information;
• payment information;
• applicable policies; and
• any specific written agreement between you and EMPIXO.

Where a specific service term clearly conflicts with a general term, the specific service term applies to that service to the extent of the conflict.

44. Acceptance

Where these Terms are presented as part of a purchase or booking process, you agree to them by completing the applicable acceptance process.

Where you use the public EMPIXO website without making a purchase, your use of the website is subject to the website-related provisions of these Terms and the Website Disclaimer.
